TERMINATION NOTICE (the “Notice”)
IMPORTANT LEGAL TERMS - PLEASE READ
October 31st, 2011 (the “Termination Date“)
All software licenses (the “License”,
the terms of which are available at the following
link), granted by MIKET DSP Solutions
(“MIKET”) via its website,
www.miketdspsolutions.com (the “Site”),
are hereby revoked as of the Termination Date.
This includes, without limitation, the licenses for the following software applications
in both source code and object code form:
Acoustic Echo Canceller (C55/C54/C):
Line Echo Canceller (C55/C54/C):
DTMF detector (C55/C54/C);
Call Progress Tone Detector (C55/C54/C);
and Caller ID detector and generator (C55/C54/C) (collectively, the “Software”).
To the extent you downloaded the Software from the Site pursuant to the License,
you have the following responsibilities:
1. All license rights granted to you under the License are hereby terminated
effective as of the Termination Date or
immediately upon the date on which you become aware of the termination
of your license rights pursuant to this Notice.
2. You must cease any and all use of the Software immediately
as of the Termination Date or immediately upon learning of
the termination of your license rights pursuant to this Notice,
including without limitation, ceasing all use of the Software as
a stand alone application or as part of or in connection with any
other application or product, porting the Software to other platforms,
subcontracting using the Software,
or sublicensing the Software or any derivatives of the Software,
either directly or indirectly.
3. All copies of the Software and/or any accompanying
documentation must be destroyed within five (5) business days
following the Termination Date or the date on which you become
aware that your license rights have been terminated pursuant to this Notice.
4. The termination of your license rights pursuant to this Notice
includes any use of the Software in connection with software or hardware products
based on, derived from, or otherwise including or using the Software or any part thereof.
You must ensure that any replacement software used or
adopted as a replacement or substitute for the Software is not based on,
derived from, or does not otherwise include or use the Software or any part thereof.
5. The Software was licensed and not sold and is proprietary to MIKET.
Accordingly, your failure to cease all use of the Software
as of the Termination Date or immediately upon termination
of your license rights pursuant to this Notice is a violation of MIKET’s
intellectual property rights.
The termination of your license rights as set forth in this Notice
does not waive any rights, claims or remedies MIKET may have against you
in connection with your use of the Software or the License,
regardless of whether such rights, claims or remedies accrued prior
to or following the Termination Date or the date on which you
became aware of the termination of your license rights pursuant to this Notice.
6. This Notice does not affect or otherwise supersede or
replace the disclaimer of warranties and limitation of liability provisions
included as part of the License.
The disclaimer of warranties and limitation of liability provisions
shall survive termination of your license rights pursuant to this Notice.
